TERMS & CONDITIONS OF BUSINESS

1. WHO WE ARE

1.1 We are Woodbury Gold Vault Ltd, a private limited company incorporated and registered in England and Wales under company number 16363130, having its registered office at 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ.

1.2 Woodbury Gold Vault Ltd (“Woodbury”, “we”, “us”, or “our”) operates the website located at www.woodburygoldvault.com (the “Website”) and conducts all transactions in accordance with these Terms and Conditions of Business (“Terms”).

1.3 Woodbury is engaged in the wholesale and retail supply of physical precious metals including but not limited to gold and silver coins, bullion, and collectible items, including numismatic and third-party graded coins.

1.4 For the avoidance of doubt, Woodbury Gold Vault Ltd is not a financial advisor, investment fund, or regulated entity under the Financial Services and Markets Act 2000 (FSMA), nor is it authorised or regulated by the Financial Conduct Authority (FCA).

3. LEGAL STATUS OF THIS DOCUMENT

3.1 These Terms constitute a legally binding contract between Woodbury and the customer (“you”) and shall govern all orders, transactions, and contractual dealings between the parties.

3.2 By accessing our Website, initiating a purchase, or otherwise engaging with our services, you are deemed to have accepted and agreed to be legally bound by these Terms in their entirety.

3.3 These Terms supersede all prior discussions, representations, undertakings, or agreements between the parties with respect to their subject matter.


4. ELIGIBILITY

4.1 You represent and warrant that you are:

  1. At least 18 years of age;
  2. Legally capable of entering into binding contracts;
  3. Not purchasing on behalf of a third party without their express authorisation.


5. IMPORTANT DISCLAIMERS

5.1 Due to market fluctuations in the value of precious metals, all orders are final and binding once confirmed, and no statutory or cooling-off rights apply.

5.2 We expressly disclaim all responsibility for interpreting our products as investment vehicles. All information provided by Woodbury is strictly for general informational purposes only and should not be construed as financial, investment, legal, or tax advice.

5.3 Any perceived increase or decrease in the value of items purchased shall not be attributable to Woodbury and no compensation, refund, or adjustment will be provided.

5.4 We make no warranties, express or implied, regarding future resale value, marketability, or investment suitability of any product sold.

5.5 You agree that no statement, presentation, or discussion—whether verbal, written, or implied—made by any representative of Woodbury shall be construed as a promise or guarantee of profit, return, or market performance.

5.6 You are solely responsible for seeking independent, qualified, and regulated professional advice prior to entering into any transaction.


SECTION A – PURCHASE OF GOODS


6. FORMATION OF CONTRACT

6.1 All orders are subject to availability and acceptance. No binding contract shall arise until you receive a written Order Confirmation from us.

6.2 We reserve the right to decline any order at our sole discretion without providing a reason.


7. PRODUCT INFORMATION AND GRADING

7.1 All descriptions and images on our Website are for illustrative purposes only and do not form part of the contract.

7.2 Where applicable, coins are graded by third-party certification services (e.g., NGC, PCGS). Grading is a subjective process and may vary between services or upon re-submission. We accept no liability for grading disputes.

7.3 We do not warrant or guarantee the grade, future appreciation, or investment quality of any coin, whether certified or not.

7.4 Packaging, casing, and presentation may vary and shall not form a material part of the contract.


8. PRICING

8.1 All prices are quoted in GBP and are subject to change without notice.

8.2 We reserve the right to correct pricing errors at any time and may cancel an order in the event of a material error.

8.3 You are responsible for all applicable taxes, import duties, and charges.


9. PAYMENT

9.1 Payment must be received in full before goods are dispatched.

9.2 We accept payment by bank transfer, debit/credit card, or any method listed on the Website.

9.3 If we suspect fraud or unauthorised use of payment methods, we reserve the right to withhold or cancel orders pending investigation.


10. CANCELLATION

10.1 Due to the volatile nature of precious metal markets, you have no right to cancel once an order has been confirmed.

10.2 In exceptional cases, and at our sole discretion, we may permit cancellation subject to a restocking fee or administrative charge.


11. DELIVERY

11.1 Risk transfers to you upon dispatch. Delivery times are estimates and not guarantees.

11.2 We use insured, trackable shipping methods. You must report any issues within 48 hours of receipt.

11.3 If delivery is refused or undeliverable due to incorrect details, you will be liable for redelivery charges.


12. TITLE AND RISK

12.1 Title to any goods purchased shall not pass to you until full payment is received.

12.2 All risk in the goods shall transfer to you upon dispatch.


13. STORAGE SERVICES (IF OFFERED)

13.1 If we offer and you opt for allocated storage, your goods will be stored in a secure facility.

13.2 We may subcontract storage to approved third parties. Liability for storage is subject to separate terms where applicable.


14. INSURANCE

14.1 Goods in transit are insured by us up to the point of delivery.

14.2 You are responsible for insuring goods post-delivery and for any return or resale purposes.



SECTION B – SELLING BACK TO US


15. BUY-BACKS

15.1 We may, at our discretion, offer to repurchase items previously sold to you. This is not guaranteed and is assessed case-by-case.

15.2 All items submitted for buy-back must be received in their original certified condition with seals unbroken.

15.3 Payment is subject to inspection and market valuation and may be refused or adjusted accordingly.


16. SHIPPING & RISK ON RETURN

16.1 You are responsible for shipping, insurance, and risk until items are received and accepted by us in writing.

16.2 We are not liable for any loss, theft, or damage in transit.


SECTION C – GENERAL TERMS


17. LIMITATION OF LIABILITY

17.1 We shall not be liable for any indirect, incidental, or consequential damages arising from your use of our services or products.

17.2 Our total liability shall not exceed the amount you paid for the specific product giving rise to the claim.


18. FORCE MAJEURE

18.1 We shall not be held liable for delays or failures to perform caused by circumstances beyond our control including but not limited to natural disasters, strikes, transport disruptions, government actions, cyberattacks, or pandemics.


19. DATA PROTECTION

19.1 Your personal data will be processed in accordance with our Privacy Policy, available on our Website.


20. COMPLAINTS & DISPUTES

20.1 If you have a complaint, please contact us via email. We aim to respond within 14 business days.

20.2 If unresolved, we may refer you to an Alternative Dispute Resolution (ADR) body, though participation is voluntary.


21. GOVERNING LAW

21.1 These Terms are governed by and construed in accordance with the laws of England and Wales.


22. JURISDICTION

22.1 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.


23. AMENDMENTS

23.1 We reserve the right to amend these Terms at any time. Changes will be published on our Website and will apply prospectively. Continued use of our services after such amendments shall constitute acceptance thereof.
